Dutch company Anse issues another statement: refutes rumors of Zhang Xuezheng’s reinstatement as CEO!

On November 5th local time, Nexperia B.V. headquarters in the Netherlands released the latest information on issues affecting its global operations, governance, and supply chain through its official website.

Firstly, Anse Netherlands expressed satisfaction with the one-year suspension of the 50% equity penetration rule for export controls by the United States. We also welcome conditional approval from the Chinese Ministry of Commerce for the export application of Anshi Semiconductor.

Secondly, in response to China’s refusal to comply with the instructions of Dutch Anse, it was announced that “we cannot guarantee the intellectual property, technology, authenticity, and quality standards of the products delivered from Anse Semiconductor’s Chinese factory as of October 13th.” Currently, Dutch Anse still maintains a suspension of direct wafer supply to its factories in China.

At the same time, Dutch security also accused Chinese security of stealing official seals, establishing unauthorized bank accounts and guiding customers to transfer funds to these accounts, and publishing “unauthorized letters with false information” to the public.

Thirdly, Anse Netherlands stated that its dedicated team is working urgently to promote product supply in a sustainable manner. At the same time, it is emphasized that we will not give up our business in China.

Fourthly, regarding the recent rumors that “the Netherlands will restore the former CEO of Ansea Semiconductor (Zhang Xuezheng) to his position before November 7th, and unfreeze its core assets of the Dutch headquarters and business authorization for China before November 13th,” Ansea has denied the rumors.

Fifthly, Anse Netherlands stated that it will continue to fully comply with the orders of the Dutch government.

Anse Netherlands emphasizes that the company remains fully committed to transparency, business continuity, and the interests of global customers, suppliers, employees, and stakeholders.

Geopolitical development and supply chain recovery

Anshi Semiconductor is pleased that the US authorities have suspended the implementation of the so-called “subsidiary rule” for one year, which extends US export control restrictions to entities on the US Entity List that own 50% or more of the shares. Otherwise, the rules of affiliated companies may affect Anshi Semiconductor, a wholly-owned subsidiary of Wentai Technology Co., Ltd. (“Wentai Technology”), which was listed on the International Settlement Bank Entity List in December 2024.

We also welcome China’s commitment to promote the export recovery of Anshi Semiconductor’s Chinese factories and our subcontractors, so that key traditional chips can continue to flow into the global market. We hope to see more details soon regarding the conditions, standards, and procedures for relaxing export restrictions.

Operation interruption

Despite taking these proactive measures, Anshi Semiconductor’s entities in China have ceased to operate within the established corporate governance framework and have disregarded the legitimate instructions of Anshi Semiconductor’s global management.

Therefore, we are unable to monitor whether and when the products from our Chinese factory are delivered. Due to the lack of transparency and supervision in the manufacturing process, we cannot guarantee the intellectual property, technology, authenticity, and quality standards of the products delivered from Anshi Semiconductor’s China factory as of October 13th.

Therefore, Nexperia B.V. announced on October 29, 2025 that it had to suspend further direct wafer supply to the company’s factories in China after Nexperia China refused to pay for these wafers. This chargeback is not an isolated incident, but also includes:

Without justifiable reasons or explanations, stealing the company seal of Anshi Semiconductor China entity;

Establish unauthorized bank accounts and guide customers to transfer funds to these accounts;

Sending unauthorized letters containing false information to customers, subcontractors, third-party suppliers, and employees.

Supply chain resilience

A dedicated team is working urgently to identify and implement feasible ways forward to promote product supply in a sustainable manner.

Please note that Anshi Semiconductor has not completely stopped the transportation of wafers. We are providing alternative supply chain solutions to minimize disruptions and maintain delivery continuity as much as possible. All other Ansei Semiconductor sites (including sites in Europe and other regions of Asia) continue to operate normally. All products produced by Anshi Semiconductor outside of China are made using authentic Anshi Semiconductor wafers and approved materials, in compliance with Anshi Semiconductor’s standard specifications, manufacturing processes, and quality systems applicable to related products, and manufactured using Anshi Semiconductor’s intellectual property. Therefore, these products are completely authentic and compliant. These products have been delivered and will continue to be delivered to our customers.

Similarly, we believe that the situation can quickly ease, which is in the best interests of all parties involved. We will continue to devote ourselves wholeheartedly to our business in China and our dedicated Chinese employees, who are an indispensable part of Anshi Semiconductor’s success. Anshi Semiconductor’s business in China, including its manufacturing activities in Dongguan, remains crucial for its long-term strategy and success.

Clarify the CEO’s position and media speculation

Anshi Semiconductor has noted rumors and media speculation regarding the alleged reinstatement of Zhang Xuezheng as CEO. The company confirms that according to the ruling of the Enterprise Chamber of Commerce on October 7, 2025, Zhang Xuezheng has been suspended from his position as a director. Accordingly, Zhang Xuezheng will no longer serve as the CEO of Anshi Semiconductor.

In addition, the Chamber of Commerce ruled that almost all voting rights of Anshi Semiconductor shares indirectly held by Wentai Technology Co., Ltd. (“Wentai Technology”) have been managed by independent managers designated by the Chamber of Commerce.

Any opposite statement is incorrect.

Comply with the orders of the Dutch government

Anshi Semiconductor continues to fully comply with the orders of the Dutch government. This order aims to protect Nexperia’s production capacity and expertise in Europe, without impeding regular production or daily operations. However, it does require government approval to make strategic decisions, such as relocating parts of the company or firing executives, and is valid for up to one year.
